The Coach has requested and the Sponsor/s agree/s that the Sponsor/s will protect the confidential material and information which may be disclosed to them from Coaching Sessions. Therefore, the parties agree as follows.
I. CONFIDENTIAL INFOMATION.
I. COACH. The term "Confidential Information" means any information or material which is proprietary to the Coach, whether or not owned or developed by the Coach, which is not generally known other than by the Coach, and which the Client may obtain through any direct or indirect contact with the Coach. Confidential Information shall include any information provided by the Coach concerning the business ideas, technology, coaching strategies and information provided by the Coach to the Client. The Sponsor/s and Client may bring up, talk about or discuss witth anyone that Stephane Allinquant is a Strategic Life Coach in general and opinions as to services provided, as long as it does not impede on the Clients personal reasons for coming to coaching, unless the client themselves chooses to do so.
II. SPONSOR & CLIENT. The term "Confidential Information" means any information or material which is proprietary to the Sponsor/s or Client. The Coach agrees to uphold strict confidential and ethical practices. The Coach agrees to not disclose any and all information to any third parties at any time without express consent. An example of a Third Party which the Client or Sponsor/s may give consent to, may be a Therapist, Psychiatrist, or medical professional. In addition Coach will ever discuss any infomation discussed within Coaching Sessions with anyone who is not attached to this agreement. The Coach agrees to only share information agreed to within this Disclosure Agreement with Sponsor/s based on the selections both Sponsor and Client have agreed to above.
A. "Confidential Information" does not include:
- Information that resulted from the Client disclosing information publicly (i.e. Social Media);
- information received by the Sponsor/ from the Client without the Coaches involvement;
- information disclosed to the Sponsor/s prior to this Disclosure Agreement by the Client;
- information about Strategic Life Coaching & the Services Provided by Stephane Allinquant
II. ACKNOWLEDGMENT. The Client acknowledges and agrees that, any Confidential Information provided to the Sponsors by the Coach, the Coach will not be held liable for the information disclosed, as long as it is information agreed to in this Disclosure Agreement.
III. GENERAL PROVISIONS. This Agreement sets forth the entire understanding of the parties regarding confidentiality. The obligations of confidentiality shall survive indefinitely from the date of disclosure of the Confidential Information. Any amendments must be in writing and signed by all parties. This Agreement shall be construed under the laws of the State of Virginia. This Agreement shall not be assignable by either party. Neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect at all times after the effective date of this Agreement. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Agreement.
IV. SIGNATORIES. This Agreement shall be executed by Stephane Allinquant, Coach, on behalf of Strategic Life Coaching, LLC and (Sponsor/s) and (Client) and delivered in the manner prescribed as of the date written above.
